By accessing and using Thorium's services, you accept and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Thorium LLC. If you do not agree to these terms, please do not use our services. Your continued use of our services after any changes to these Terms constitutes your acceptance of the revised Terms.

Thorium LLC provides digital services including web development, mobile application development, UI/UX design, digital marketing, cybersecurity consulting, AI automation services, and business growth consulting. We reserve the right to modify or discontinue any service at any time with reasonable notice. Service specifications and deliverables are outlined in individual project agreements.

You are responsible for providing accurate and complete information for your projects. You must provide timely feedback and approvals as outlined in project agreements — delays in feedback may affect project timelines and costs. You are also responsible for maintaining the confidentiality of any account credentials we provide and for all activities that occur under your account.

Payment terms are specified in individual project agreements. Generally, we require a deposit before beginning work, with the remainder due upon completion or at agreed milestones. Late payments may incur a 1.5% monthly fee. All prices are in USD unless otherwise specified. We accept payment via bank transfer, credit card, and other methods outlined in project agreements.

Upon receipt of full payment, you will own the final deliverables created specifically for your project. However, Thorium LLC retains ownership of our proprietary methodologies, frameworks, tools, and any pre-existing intellectual property incorporated into your project. We reserve the right to showcase completed work in our portfolio and marketing materials, unless you request confidentiality in writing.

We respect your confidentiality and will not disclose any proprietary or sensitive information you share with us to third parties without your consent. We may require a separate Non-Disclosure Agreement (NDA) for sensitive projects. Our team members are bound by confidentiality obligations. This obligation survives the termination of any service agreement.

Thorium LLC's total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service in question during the 12 months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Either party may terminate services with 14 days written notice. Specific termination terms and any applicable fees are outlined in individual project agreements. Upon termination, payment is due for all work completed to date, calculated on a pro-rata basis. We reserve the right to terminate services immediately for breach of these Terms, non-payment, or conduct that is harmful to our team or reputation.

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Washington, DC, except that either party may seek injunctive relief in court to prevent irreparable harm.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 7 days before taking effect. Minor changes will be effective immediately upon posting. Your continued use of our services after any changes constitutes your acceptance of the modified Terms. We recommend reviewing these Terms periodically.
